1. Our Services

ICONIC helps businesses run private AI and agents on their own computers, through teaching, setup and ongoing support. The website describes those services and lets you book a free call. The Services are offered from the United States. If you access them from elsewhere, you're responsible for complying with your local laws.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use them on behalf of a business, you confirm you're authorized to accept these Terms for it.

3. Paid engagements

Any paid work, including setup, teaching, hardware purchasing and ongoing support, is governed by a separate written agreement or statement of work between ICONIC and the client. That agreement sets the scope, fees, payment terms and responsibilities, and it controls if it conflicts with these Terms. Nothing on the website is an offer that becomes binding without that agreement. Hardware is owned by the client, and the manufacturer's warranty applies to it.

4. Not professional advice

Content on the Services, including articles, examples, the one-page guide and anything the live demo says, is general information for educational purposes. It is not legal, financial, tax, accounting, compliance, security or other professional advice, and it doesn't create a client relationship. References to laws, regulations or professional rules are summaries, not legal opinions. Consult a qualified professional before acting on anything in the Services.

5. The live demo

6. Intellectual property

The Services, including the ICONIC name and wordmark, text, design, graphics, code, the demo and the one-page guide, are owned by ICONIC or its licensors and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view and use the Services for your own business evaluation. You may share links to the website and share the one-page guide unchanged and with credit. You may not copy, modify, resell, republish or use our materials to build a competing product or service without written permission.

7. What you submit

If you send us feedback, questions or suggestions, or type into the demo, you give us a worldwide, royalty-free, perpetual license to use that input to operate and improve the Services. For example, the demo learns connections between its sample documents from the questions it receives. You keep any rights you have in your own content. You confirm that what you submit is lawful and isn't confidential to anyone else.

8. Prohibited activities

You agree not to:

We may block access for anyone who violates these Terms.

9. Third-party services

The Services link to or rely on third parties such as Calendly. We don't control them and aren't responsible for their content, policies or practices. Your use of them is at your own risk and subject to their terms.

10. Privacy

Our Privacy Policy explains how we handle personal information and is part of these Terms.

11. Changes and interruptions

We may change, suspend or discontinue any part of the Services, and correct errors, at any time without notice. We don't guarantee the Services will always be available or error-free. We may update these Terms. Continuing to use the Services after an update means you accept it.

12. Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ICONIC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM YOUR USE OF THE WEBSITE, DEMO OR MATERIALS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THEM WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Liability for paid engagements is governed by the client agreement. Some jurisdictions don't allow certain limits, so some of these may not apply to you.

14. Indemnification

You agree to defend, indemnify and hold harmless ICONIC and Patrick Christell from any claims, losses and expenses, including reasonable attorneys' fees, arising from your violation of these Terms, your misuse of the Services or your violation of anyone else's rights.

15. Governing law and disputes

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law rules. Before filing any claim, you agree to contact us and try to resolve the dispute informally for at least 30 days. Any dispute that isn't resolved will be brought only in the state or federal courts located in King County, Washington, and both parties consent to their jurisdiction. Claims must be brought individually, not as part of a class or representative action.

16. Electronic communications

By using the Services, emailing us or booking a call, you consent to receive communications from us electronically, and you agree that electronic notices and agreements satisfy any requirement that they be in writing.

17. Miscellaneous

These Terms and our Privacy Policy are the entire agreement between you and ICONIC about the website and demo. If any part is found unenforceable, the rest stays in effect. Our failure to enforce any part isn't a waiver. You may not assign these Terms. We may assign them as part of a business transfer. Nothing in these Terms creates a partnership, employment or agency relationship.
